These Terms of Service ("Terms") govern your access to and use of the website located at 1nova.ai (the "Site"), operated by NOVA AI, Inc., a Delaware corporation ("NOVA," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Scope of These Terms

These Terms apply to the public Site, including informational pages, contact and demo request forms, email subscriptions, and account login access provided through the Site. Use of the NOVA platform and services is governed separately by the Master Services Agreement, Subscription Terms, and any Order Form executed between NOVA and your organization (collectively, the "Service Agreement"). If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the platform and services.

2. Eligibility

The Site is intended for business use by individuals who are at least 18 years old. By using the Site, you represent that you meet this requirement and, if acting on behalf of an organization, that you have authority to bind that organization.

3. Accounts

Certain features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at legal@1nova.ai if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or present a security risk.

4. Acceptable Use

You agree not to: (a) use the Site in violation of applicable law; (b) attempt to gain unauthorized access to the Site, other accounts, or NOVA systems; (c) probe, scan, or test the vulnerability of the Site without authorization; (d) interfere with the operation of the Site, including through malware, denial-of-service, or automated scraping that burdens our infrastructure; (e) misrepresent your identity or affiliation; or (f) use the Site to develop a competing product or service by systematically extracting our content.

5. Intellectual Property

The Site and all content on it — including text, graphics, logos, product names, designs, and software — are owned by NOVA or its licensors and are protected by intellectual property laws. "NOVA" and associated marks are trademarks of NOVA AI, Inc. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose. No other rights are granted.

Salesforce and related marks are trademarks of Salesforce, Inc. NOVA is an independent company and is not affiliated with, endorsed by, or sponsored by Salesforce, Inc.

6. Submissions

Information you submit through contact, demo request, or subscription forms is handled as described in our Privacy Policy. If you send us feedback, ideas, or suggestions about the Site or our services, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

7. Third-Party Links and Services

The Site may link to third-party websites or services. We do not control and are not responsible for their content, policies, or practices. Access them at your own risk.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOVA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Content on the Site is for general informational purposes only and does not constitute professional, legal, or technical advice, and does not form part of any contract for NOVA's services unless expressly incorporated into a Service Agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOVA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless NOVA from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

13. General

These Terms constitute the entire agreement between you and NOVA regarding the Site and supersede prior understandings on that subject. If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
